Terms of Sale & Delivery

1. Scope of Application

These Terms of Sale and Delivery apply to all business transactions between Viklund™ ("Viklund"), operating under the entity SEY & PALO SL, and its business customers — regardless of ordering channel, whether placed through the Viklund online store (viklundgroup.com) or via a quotation issued directly by our sales team. By placing an order or accepting a quotation, the customer accepts these terms in full. Deviating conditions from the customer are not recognized unless expressly agreed in writing.

2. Business Customer Eligibility

To trade with Viklund as a B2B customer, a valid VAT number registered within the European Union is required. Orders cannot be processed as B2B transactions without a valid VAT ID provided at checkout or on the quotation.

3. Pricing and Quotes

All prices are in EUR, exclusive of VAT and other applicable duties. Intra-EU B2B supplies: VAT 0% (reverse charge) with a valid VAT ID. Quotations issued via our sales team are valid for 30 days from the issue date, due to raw material price fluctuations, unless otherwise stated on the quotation. Minimum order quantities apply per product, not as a blanket order value — each product's smallest sellable unit (e.g. smallest pack, box, or roll) constitutes the minimum order. This applies equally to standard catalogue items and custom-printed products.

4. Payment Terms

Online store orders: Payment is collected at checkout (card, Shop Pay, PayPal). For dropship-fulfilled items, payment is authorized at order and captured once supplier availability is confirmed.

Quotation-based (RFQ) orders: Payment terms are stated on the individual quotation. Standard terms are 50% advance upon order confirmation and 50% before dispatch, unless the customer has an approved credit account, in which case net terms apply as agreed in writing.

New B2B partnerships: For the first orders with a new account, advance payment in full may be required until a verified trading history is established.

Late payments are subject to interest in accordance with Spanish Law 3/2004 (Ley de lucha contra la morosidad), implementing EU Directive 2011/7/EU, plus a fixed recovery fee per overdue invoice.

5. Delivery and Risk

Deliveries are made under Incoterm DAP (Delivered at Place) for destinations within the European Union. Deliveries outside the EU are handled on a case-by-case basis — contact us for a tailored quotation. Production lead time is counted from final artwork approval; transit time is added on top and stated per order. Estimated delivery times are non-binding guidance, not a contractual deadline. Viklund is not liable for delays caused by customs, logistics disruptions, or Force Majeure. Risk of loss or damage passes to the customer upon delivery at the agreed destination.

6. Artwork & Proofs

Print-ready files (PDF/AI) are required. One digital proof round is included; production starts only after written proof approval. If a printing plate is required, it is quoted after final artwork is seen and charged separately. Printing plates and cutting dies are retained for 12 months following the last order using them.

7. Production Tolerances

Due to production specifications, delivered quantity may vary ±10% from the ordered quantity; invoicing is based on actual produced quantity. Minor variation in colours and dimensions (±10%) may occur and is not grounds for rejection.

8. Quality Standards and Inspection

All products meet the technical specifications provided by Viklund. The customer must inspect goods immediately upon arrival. Visible damage or quantity discrepancies must be noted on the delivery waybill (CMR) and reported to Viklund within 48 hours. Internal/hidden defects must be reported within 7 business days of delivery.

9. Retention of Title

Viklund retains full ownership of delivered goods until the purchase price, including any interest and costs, has been paid in full.

10. Marketing Use of Produced Goods

By accepting a quotation and/or placing an order, the customer grants Viklund the right to photograph, use, and publish images of the produced or custom-printed goods for marketing purposes (including but not limited to our website, social media, and case studies), unless otherwise agreed in writing prior to production.

11. Limitation of Liability

Viklund's liability for any claim shall not exceed the total price of the goods in question. Viklund is not liable for indirect or consequential losses, such as loss of production or loss of profit.

12. Force Majeure

Neither party is liable for failure to perform its obligations where such failure is caused by an unforeseeable event beyond its control, including strikes, natural disasters, or international trade restrictions.

13. Governing Law and Jurisdiction

These terms and all business transactions between the parties are governed by the laws of Spain, excluding conflict-of-law rules and the UN Convention on Contracts for the International Sale of Goods (CISG). Disputes shall be exclusively settled by the competent courts of Málaga, Spain.
